I don't think that the Ref. C opponents have made up their minds on this yet. Their argument is that TABOR is an amendment to the state constitution and can't be repealed by a mere referendum, all of which is true.
The problem they face is twofold. First, referendum C doesn't repeal TABOR, it authorizes the state to take a 5 year time out from TABOR limitations. The second problem opponents face is that TABOR itself very specifically says that the voters have final say on state spending. It specifically authorizes the voters to approve projects etc. that would otherwise be unaffordable under TABOR limits. There are a number of state projects that have been funded in spite of TABOR restrictions because the voters wanted them, were willing to pay higher taxes for them, and chose to exclude them from TABOR.
The only question is whether this exclusion can be applied to the whole state budget, and whether the referendum is written in a way which complies with TABOR rules for exclusion. Given the large body of precident for excluding things from TABOR and that there does not seem to be much concern by the governor or the legislature that C is in danger of being overturned, I'm pretty confident that this is a non-issue.
