I think what the boys are confused about is the following:
When the UP merged the SP/D&RGW into its corporate structure, the UP retained the D&RGW's status of a Delaware Corporation. Originally, the UP was a Utah Corporation, the SP Company a Kentucky Corporation, and the D&RGW a Delaware Corporation. Since the Delaware Corporation status was retained, the rumor started that the D&RGW was the ultimate victor in merger wars, and from the point of view of State of Incorporation it might be construed that way.
What you also failed to mention is that Phillip Anschutz became the largest Stockholder in the Union Pacific Corporation, guaranteeing himself a seat on the Board of Directors after the merger.
